Lifechart Terms of Service

This document constitutes a legally enforceable contract between you and Lifechart ("Company," "we," or "us").

Welcome to Lifechart! These Terms of Service ("Terms") apply to your use and access of our website, lifechart.ai (the "Site"), and the services, tools, and features we provide (collectively, the "Services"). The term “you” signifies the user of the Services.

By accessing or utilizing the Services in any capacity, you (i) consent to these Terms, and (ii) authorize the gathering and application of your data as detailed in our Privacy Policy. If you do not consent, you are not permitted to use the Services.

IMPORTANT NOTICES

THE SERVICES ARE NOT DESIGNED FOR CRISIS INTERVENTION OR MEDICAL EMERGENCIES.

  • Lifechart is a platform for self-discovery and personal organization; it does not function as a healthcare provider and does not offer medical, mental health, legal, financial, or any other form of professional advice. The AI-powered tools are not a replacement for a licensed therapist, counselor, or other qualified professional.
  • If you are facing a medical or mental health emergency, or are contemplating suicide or self-harm, please contact your local emergency services without delay. (e.g., 911 in the United States or 112 in Europe). Do not use the Services to seek emergency assistance.

1. Introduction and Revisions to Terms

1.1 The Lifechart Platform

Lifechart is a web-based application built to help you chart and pursue your life’s purpose. Our Services feature tools for introspection, goal management, mission articulation, and an AI assistant that delivers personalized insights derived from the information you provide.

1.2 Revisions to Terms

We reserve the right to modify these Terms at our discretion by posting the revised version on our Site and updating the “Last Updated” date. Should a modification significantly alter your rights or duties, we will provide a minimum of thirty (30) days' notice via email or a site-wide notification. Unless you reject the updated Terms by ceasing all use of the Services, your acceptance of the revisions will be presumed. Your continued use of the Services after the effective date of the new Terms confirms your acceptance.

2. Account and Subscription Details

2.1 Account Registration

To utilize our Services, you must register for an account. You commit to providing information that is truthful, precise, up-to-date, and whole, and to maintain its accuracy. You are fully responsible for safeguarding the confidentiality of your account credentials. You must not sell, share, or otherwise provide access to your account.

2.2 Age Requirements

The Services are designed for individuals who are at least 18 years old. Use by anyone under the age of 18 is forbidden.

2.3 Subscriptions and Trials

  • Trial Period: Your access may begin with a complimentary trial period. Eligibility is determined at our discretion. The trial will automatically transition to a paid subscription at its conclusion unless you cancel beforehand.
  • Subscription: Your Lifechart subscription will continue and auto-renew until cancelled. A valid payment method and internet access are required. You authorize us to bill your designated payment method for all subscription fees and applicable taxes.
  • Cancellation: You may cancel your subscription at any time in your account settings. To prevent charges for the next billing cycle, cancellation must occur before your current subscription period renews. Access to the Services will continue through the end of your paid term. No refunds will be issued for partial subscription periods.

2.4 Electronic Communications

You agree to be contacted by us electronically (e.g., via email or notices on the Site). These communications may include important notices about your account and are integral to your relationship with us. You agree that all notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt-out of marketing emails by using the unsubscribe link provided in them.

3. Your Content and Information

3.1 Responsibility for Your Content

You hold exclusive responsibility for all data, text, and other materials ("User Content") that you provide, upload, or transmit through our Services. You, or your licensors, keep any intellectual property rights you hold in your User Content.

3.2 Limited License Grant to Us

By submitting User Content, you grant Lifechart a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, and display your User Content exclusively for the function of operating, delivering, and enhancing our Services, including the AI-driven features. This license is essential for the AI to analyze your data and generate personalized responses.

3.3 User Assurances

You are permitted to submit User Content only under the following conditions: (1) you are the owner of the User Content or have secured all necessary permissions to submit it and grant us the rights specified in these Terms, and (2) your submission does not infringe upon any third party’s rights or any applicable law.

3.4 Data Privacy

The protection of your personal information is a top priority. Your data is secured. Our methods for collecting and using your information are detailed in our Privacy Policy.

4. User Feedback

From time to time, you might offer us remarks, ideas, or suggestions for improvements (“Feedback”). By providing Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, and sublicensable license to use, incorporate, and otherwise leverage such Feedback for any purpose, including for improving the Services, without acknowledgment or payment to you.

5. Our Intellectual Property and Your Restricted License

5.1 Our Materials

All content within the Services, including designs, graphics, text, software, and other files and the organization and composition thereof (collectively, “Materials”), are the property of Lifechart or its licensors and are safeguarded by intellectual property laws.

5.2 Restricted License

Conditioned on your adherence to these Terms, Lifechart provides you with a restricted, non-exclusive, non-sublicensable, revocable, non-transferable license to use the Services for your personal, non-commercial purposes only. You will not acquire any ownership stake in the Materials or the Services.

5.3 Restrictions on Use

Unless expressly permitted by these Terms, you may not copy, reproduce, distribute, republish, download, perform, display, transmit, or create derivative works from any of the Materials. Furthermore, you are prohibited from:

  • Reverse-engineering, disassembling, decompiling, or otherwise trying to uncover the source code of the Services.
  • Hacking the Services or engaging in any activity that could damage, disrupt, intercept, or expropriate any system, personal data, or other information.
  • Employing any “deep-link,” “page-scrape,” “robot,” “spider,” or other automated device or manual method to access, copy, or monitor any part of the Services.
  • Using automated tools to extract data from the Services for any purpose, including for training machine learning models, without our explicit written permission.
  • Using the Services for any illegal or deceptive purpose.

6. Copyright Complaint Policy

We respect the intellectual property of others. We have a policy of terminating the accounts of repeat infringers. If you believe your intellectual property is being infringed by our Services, please send a complaint to contact@lifechart.ai with the following information:

  • A signature (electronic or physical) of the person authorized to act for the copyright owner.
  • A description of the copyrighted work you claim has been infringed.
  • A description of the material you claim is infringing and its location on our Service.
  • Your contact information (address, phone number, and email).
  • A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on their behalf.

7. Disclaimers and Risk Assumption

7.1 AI Chat & Insights - Risk Assumption

The AI Coach is an automated tool that generates insights from your data. It is a technology, not a person.

  • Not Professional Counsel: The AI Coach does not offer medical, legal, financial, or any other type of professional guidance. It is not a replacement for services from qualified professionals.
  • Consult a Professional: You should always consult with an appropriate expert (e.g., doctor, therapist, financial advisor) for specific guidance relevant to your circumstances.
  • Your Responsibility: You take on complete responsibility for your choices and actions. We are not liable for any outcomes resulting from your reliance on the AI Coach.

7.2 General Warranty Disclaimer

YOU UTILIZE THE SERVICES ENTIRELY AT YOUR OWN RISK. THE SERVICES ARE DELIVERED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LIFECHART SPECIFICALLY RENOUNCES ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL LIFECHART BE HELD LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND. THE TOTAL AND CUMULATIVE MAXIMUM LIABILITY OF LIFECHART FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY, SHALL BE CAPPED AT THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE ACTION GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID FOR THE SERVICES DURING THAT PERIOD, YOUR ONLY REMEDY IS TO DISCONTINUE USING THE SERVICES.

9. Indemnification

You agree to indemnify, defend, and protect Lifechart and its officers, directors, and employees from any and all liability, damages, and expenses (including reasonable attorneys’ fees) resulting from third-party claims related to (i) your utilization of the Services, or (ii) your violation of these Terms.

10. Termination of Service

These Terms can be ended by Lifechart at any point. We may terminate or suspend your access to the Services, without prior notice, for any or no reason, including for any behavior that we, at our own discretion, deem to be in violation of any applicable law or these Terms. You may end this agreement at any time by closing your account and ceasing all use of the Services.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any disputes or claims arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Republic of Poland.

11.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent general courts of Poland.

11.3 Amicable Resolution

We are committed to resolving disputes with our users amicably. Should you have a concern, we strongly encourage you to first contact us directly at contact@lifechart.ai to seek a resolution before pursuing formal legal action.

12. General Terms

Out-of-Court Dispute Resolution for Consumers

The European Commission provides an online platform for dispute resolution (the "ODR platform") to facilitate the fair out-of-court settlement of disputes between consumers and online traders. You can access the ODR platform at: http://ec.europa.eu/consumers/odr. The use of this platform is a voluntary option for consumers.

Severability

If any part of these Terms is considered illegal or invalid, the validity and enforceability of the remaining parts shall not be affected.

Entire Agreement

These Terms, along with our Privacy Policy, represent the complete agreement between you and Lifechart concerning the Services and replace all previous agreements.

No Waiver

Lifechart's failure to enforce strict adherence to any term herein shall not be a waiver of that term.

Assignment

These Terms, and any rights granted hereunder, cannot be transferred or assigned by you. We may assign these Terms and any associated rights without restriction.
